This Minimum Advertised Price (MAP) Policy applies to all 4x4 Rockcats Inc. products sold by authorized dealers, resellers, and distributors ("Dealer"). It is unilateral, non-negotiable, and not a price-fixing agreement. Rockcats establishes minimum advertised prices for all of its products.

Advertised price means the price displayed in any public-facing medium — including but not limited to websites, search-engine listings, social media, printed catalogs, in-store signage, marketplace listings (Amazon, eBay, Walmart, Facebook Marketplace), price-comparison engines, and email blasts.

Dealers may sell at any price they choose at the point of sale, including below MAP. However, no Dealer may publicly advertise, display, or otherwise communicate a price below the published MAP for the product.

MAP applies to the base price of the product. Free shipping, free installation, cashback offers, "Add to cart for price," coupon codes that reduce the visible price, bundling discounts that effectively price the Rockcats product below MAP, or any other tactic designed to circumvent MAP is treated as a MAP violation.

Rockcats reserves the right to enforce this MAP Policy at its sole discretion. Consequences for violation may include: a written warning, removal from advertising co-op programs, suspension of dealer pricing, termination of the dealer agreement, or refusal to fill future orders. Repeated violations result in termination.

MAP prices are subject to change. Rockcats will provide 14 days' notice before any MAP change takes effect. Promotional MAP windows (Black Friday, etc.) are announced separately and apply only during the published window.

This MAP Policy is binding on the Dealer for as long as Dealer carries Rockcats products. By signing the application below, Dealer acknowledges receipt of this MAP Policy and agrees to comply with its terms.

These Dealer Terms of Sale ("Terms") govern the sale of 4x4 Rockcats Inc. ("Rockcats") products to dealers, resellers, distributors, and other commercial accounts ("Dealer"). By placing any order, Dealer agrees to these Terms.

1. Orders & pricing. All orders are subject to acceptance by Rockcats. Pricing is per the current Dealer Price List in effect on the date the order is placed. Rockcats may update pricing with 30 days' written notice.

2. Payment terms. Authorized Dealers operate on a prepaid basis (card, ACH, or wire). Certified Dealers may qualify for Net 30 terms after credit review. Past-due balances accrue a 1.5% monthly service charge.

3. Title & risk of loss. Title and risk of loss pass to Dealer when goods are delivered to the carrier at the Rockcats warehouse in Pennsauken, NJ (FOB Origin). Dealer is responsible for filing freight claims directly with the carrier.

4. Returns & RMAs. Defective product is covered under the 3-Year Limited Warranty. Non-defective returns require an RMA issued in advance, are subject to a 15% restocking fee, and must be returned in original unopened packaging within 30 days of receipt.

5. Resale restrictions. Dealer is authorized to resell Rockcats products through its own physical and online storefronts. Sale on third-party marketplaces (Amazon, eBay, Walmart, etc.) requires separate written approval from Rockcats and compliance with the MAP Policy.

6. Indemnification. Each party indemnifies the other against third-party claims arising from its own negligence or breach of these Terms.

7. Termination. Either party may terminate the dealer relationship for any reason with 30 days' written notice, or immediately for material breach (MAP violation, non-payment, fraud, etc.).

8. Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Disputes are resolved in the state or federal courts located in Camden County, New Jersey.

By signing below, Dealer acknowledges receipt of these Terms and agrees to be bound by them.

Rockcats collects the information on this application — including legal name, EIN, resale certificate, W-9, business license, and contact information — for the sole purpose of evaluating your dealer application and managing your dealer account if approved.

Information is stored encrypted at rest on US-based servers. Access is limited to authorized Rockcats personnel involved in dealer onboarding, credit review, fulfillment, and account management.

Rockcats does not sell, rent, or share your business information with third parties for marketing purposes. Information may be shared with: (a) credit bureaus and trade reference contacts you list, only to verify the information you provided; (b) shipping carriers, to fulfill orders; (c) Rockcats' attorneys, accountants, and auditors under confidentiality obligations; (d) government authorities when required by law (subpoena, court order, tax audit).

You may request a copy of the information Rockcats holds about your business, request corrections to inaccurate information, or request deletion (subject to legal retention requirements — e.g. tax records held for 7 years) by emailing privacy@4x4rockcats.com.

By signing this application, you certify that:

(a) All information provided is true, complete, and accurate to the best of your knowledge;
(b) You are authorized to submit this application on behalf of the business named above;
(c) You will notify Rockcats within 30 days of any material change in ownership, legal entity, address, EIN, or tax status;
(d) You understand that final tier, payment terms, and credit limit are determined by Rockcats based on application review and credit underwriting;
(e) Marketplace selling (Amazon, eBay, Walmart, etc.) requires separate written approval from Rockcats.

Knowingly providing false information on this application is grounds for immediate denial or termination of the dealer agreement and may be referred to law enforcement.
